In an environment where regulatory changes arrive at pace, fund managers seeking to expand across borders are relying on clear, accessible guidance to stay competitive.

Zeidler’s team of investment fund lawyers and regulatory specialists have updated the Global Knowledge Hub (GKH) with fresh insights to help clients keep ahead of regulatory shifts. Two recent developments in Hungary and the UK highlight how Europe’s and post-Brexit fund distribution rules continue to evolve for alternative investment funds (AIFs).

Hungary is gaining traction among fund managers exploring Central Europe. Under Article 32 of the AIFMD, European AIFs can market to professional investors across the EU, and new guidance has clarified the path for passporting funds into Hungary.

The guidance details practical steps, including how to structure notification packages and align with the Hungarian central bank’s procedural preferences. While Hungary’s regulations align broadly with EU rules, managers should note jurisdiction-specific documentation and timelines to prevent delays, Zeidler explained.

In the UK, managers are navigating the shift from the Temporary Marketing Permissions Regime (TMPR) to the Overseas Fund Regime (OFR). One area under scrutiny has been the process for notifying new share classes during the “landing slot” transition period, particularly for managers handling multiple classes under a single fund umbrella. Recent guidance from the Financial Conduct Authority (FCA) has brought much-needed clarity, outlining how notifications should be handled under the OFR.
